ELITE TRANSCRIPTION SERVICE
By engaging Elite Transcription Service (hereinafter called Elite Transcription) in the provision of services, the Client (the Client) acknowledges that the Client has read, understood and accepted these Terms and Conditions set out herewith.
All Orders are subject to acceptance by Elite Transcription. An Order will be deemed accepted by Elite Transcription if it gives confirmation to such effect to the Client.
Elite Transcription provides a transcription and typing service for businesses, institutions and also individuals.
Elite Transcription will strive to provide the services in the time and at the fee (“the Fee”) agreed in advance with the Client.
Elite Transcription will always endeavour to supply full service, but does not accept liability for failure to supply services caused by any external influences including acts of God, fire, governmental acts, breaks in continuity of electrical supply or telecom link, accident or any other cause beyond Elite Transcription’s control.
In the event that additional time will be required to complete the Order due to poor audio/digital quality, Elite Transcription will notify the Client as soon as reasonably possible in order to agree a new fee and timeframe.
Transcription charges are per recorded minute of audio. Any part of a minute will be rounded up to the next full minute, ie 1 minute 29 seconds is rounded up to 2 minutes.
The quality of the transcript is subject to the audio/video file being clear and a high quality recording. Elite Transcription may not be able to provide an accurate transcript if the recording is of poor quality or unclear. Extra charges apply for poor quality recordings and the resulting transcription may not be accurate. Elite Transcription accepts no liability for mistakes.
Elite Transcription has the right to reject any audio they deem to be of such poor quality that they are unable to transcribe. Elite Transcription has the right to reject any handwritten copy typing notes received they deem to be of such poor quality they are unable to provide copy typing from.
Elite Transcription also reserves the right to reject any project without assigning any reason.
Elite Transcription’s products and services may only be used for lawful purposes.
The Client agrees to pay Elite Transcription for any work performed on the Client’s behalf, before any work is carried out by Elite Transcription, unless otherwise agreed.
Payment can be made via bank transfer or PayPal (PayPal payments will incur an additional admin fee of 7.8% added to the total amount).
The Client understands that the fees quoted are per audio minute for transcription services and per 1000 words for copy typing. The total amount due will be confirmed by Elite Transcription by email or telephone before any work is undertaken. If the duration of the audio/video file is longer than ordered, the Client is responsible for paying for the full duration to be transcribed.
For one-off jobs, upon completion of the work, Elite Transcription will issue an invoice, with the completed transcript, unless otherwise agreed. Payment is due within 7 days of the date of the invoice.
For regular clients, if it has been agreed that payment is due after completion of the work, an invoice will be issued at the end of the month and payment will be required within 7 days of the date of the invoice. Any overdue payments will accrue interest at a rate of 8% over Bank of England rate, on the outstanding balance, from the date of the invoice until full payment is received.
No refund shall be applicable once transcription of any recording has commenced, unless Elite Transcription does not complete the contract or Elite Transcription uses its discretion to refund if the Client gives notice that they do not wish to continue with the service. Where transcription of a cancelled file has not yet commenced, there is no fee charged for cancellation.
The Client warrants that it has the right to disclose any confidential information which it discloses to Elite Transcription.
Any information provided to Elite Transcription for the purpose of fulfilment of the Order is for use by Elite Transcription only, and will not be disclosed to third parties. If the Client requires a confidentiality agreement or NDA to be signed before commencement of the work, this can be arranged.
For security and confidentiality purposes, Elite Transcription deletes all client transcripts or work completed for them from the computer one month after payment has been received and the job completed.
The Client accepts that Elite Transcription does not accept any liability to the Client and/or its customers from any loss or damage however caused (even if Elite Transcription had been advised of a possibility of such damage arising) resulting from transcriptions provided by or to the Customer and/or its customers using Elite Transcription’s products or services. Furthermore, Elite Transcription does not accept any liability for errors or incorrect transcription or other work, and the Client agrees that it is the Client’s responsibility to check transcription work or other work carefully and ensure that no such errors exist.
Elite Transcription do not accept liability for errors or incorrect transcription that is due to poor quality dictation. Although Elite Transcription proofread material as part of their quality control check before transmitting to the client, it must be noted that the final proofreading and checking of transcription or work is the responsibility of the Client. Elite Transcription assumes no liability for loss or damage arising from errors and inaccuracies in transcripts or other work. It is the responsibility of the Client to check accuracy.
The Client agrees to indemnify Elite Transcription and keep it indemnified from and against all expenses, costs, damages and awards arising from any claims or actions brought or threatened against Elite Transcription by parties alleging any misuse by the Client and/or its customers of Elite Transcription’s products or services and for any infringement of intellectual property rights or other applicable legislation (including, but without limitation, legislation governing the provision of goods or financial, or other services).
Full instructions must be made clear to Elite Transcription through email or telephone prior to work being undertaken on the project, no responsibility can be taken for discrepancies whatsoever.
It is the Client’s responsibility to proofread the completed Order and inform Elite Transcription in writing, by email within 48 hours of any mistakes or omissions. Elite Transcription will rectify such mistakes or omissions free of charge, within 7 days, if notified in accordance with this clause. Extra amendments/ additions required by the Client after the 48 hour period will be charged at our standard hourly rate.
Although we do strive for work to be as accurate as possible, the Client agrees to release and hold harmless Elite Transcription, its officers, and employees of any damages that might occur from the publication, quotation, distribution or public use of a quotation from the transcript that may contain a typographical or factual error, or even those without error. The Client agrees that it is his/her responsibility to confirm the accuracy of a transcript prior to information from a transcript being published or printed and will not list or imply Elite Transcription, its officers, or any employees as defendant in any litigations.
Elite Transcription shall have no liability to you for any loss, damage, costs, expenses, or other claims for compensation arising from any breach by you of these conditions or any Client material or instructions supplied by the Client which are incomplete, incorrect, repetitive, inaccurate, illegible, out of sequence or in the wrong form, or arising from their late arrival or non-arrival, or any other fault attributable to the Client.
Change in terms
Elite Transcription reserves the right to increase rates or vary the terms of service at any time as deemed necessary, providing that Elite Transcription has given at least 14 days’ notice to the Client to implementing such changes.
Any complaint must be received in writing via email to firstname.lastname@example.org within 48 hours of Elite Transcription returning your work. Elite Transcription will then have 7 days in which to rectify any issues free of charge. Elite Transcription will rectify such mistakes or omissions free of charge if notified in accordance with this clause. Extra amendments/ additions required by the Client after the 48 hour period will be charged at our standard hourly rate.
The parties shall attempt to resolve all disputes arising out of this agreement in a spirit of cooperation without formal proceedings.
Turnaround times are subject to availability and must be agreed by Elite Transcription by email or telephone, in advance to any work being commenced. Turnaround times may be amended for poor quality recordings, strong foreign or regional accents, times of heavy workloads or other unforeseen circumstances.
While Elite Transcription makes all attempts to complete the work on time, and accurately, it cannot absolutely guarantee the delivery date or quality of the transcript or work to be acceptable when it is delivered. Elite Transcription will attempt to deliver it on time, however cannot be held responsible for any losses due to a delay in delivery or inaccuracy that may occur. By agreeing to this contract, the Client indemnifies Elite Transcription from any losses that may be incurred due to project delays or in accuracy of the transcripts or work.
The Client may terminate this agreement at any time providing that all monies outstanding are paid in full.
Elite Transcription is entitled to terminate this customer agreement on giving notice to such effect if the Client breaches any of its terms or conditions. In this circumstance, the Client will forfeit the return of any advance payments and Elite Transcription products and services will be wholly withdrawn.
